Terms of Service

1. Who these terms are with

"We", "us" and "our" mean Neoxify LLC, a limited liability company formed in Washington, United States, at 4732 176th ST SW APT D2, Lynnwood, WA 98037. "You" means the person or business using this site or buying services from us.

2. Using this website

You may read this site and contact us through it. You may not attempt to gain unauthorised access to it, disrupt it, or use it to send unlawful or abusive content. The design, text and code of this site belong to us.

3. Quotes and project work

Development and design work is quoted before it begins. A quote sets out what is included; anything outside it is agreed separately before we do it. Nothing on this website is an offer to contract by itself -- prices shown are indicative until confirmed in a quote.

Once a project is paid for in full, the finished website is yours. Tools, libraries and components we reuse across projects remain ours, and you get the right to keep using them as part of your site.

4. Hosting and recurring services

Hosting, email and related services are billed monthly in advance. There is no minimum contract: you may cancel at any time, effective at the end of the period you have paid for. We do not refund part-months.

If an invoice is unpaid we will tell you before anything is suspended. We will not delete your data as a first response to non-payment, and we will give you a reasonable opportunity to take a copy of your site.

5. Your content

You keep ownership of the content you give us or publish through our hosting. You are responsible for having the right to use it. You give us permission to store and serve it insofar as that is what running the service requires.

6. Acceptable use

Services we provide may not be used to send unsolicited bulk email, to distribute malware, to host unlawful material, or to attack other systems. We may suspend a service that is actively causing harm, and we will tell you why.

7. Availability

We work to keep hosted services available and we take regular backups, but we do not offer a guaranteed uptime percentage and we do not want to imply one. Maintenance that requires downtime is scheduled and announced where we can foresee it.

8. Third parties

Some things depend on suppliers we do not control -- domain registrars, certificate authorities, upstream networks, payment processors. We are responsible for our own work and for choosing those suppliers sensibly, not for their outages.

9. Liability

To the extent the law allows, our total liability for any claim connected with our services is limited to the amount you paid us for the service in question in the twelve months before the claim. We are not liable for lost profits or lost data beyond that. Nothing here limits liability that cannot lawfully be limited.

10. Ending the arrangement

Either of us may end a recurring service with reasonable notice. On request within a reasonable period after the end, we will provide a copy of your website files and databases.

11. Governing law

These terms are governed by the laws of the State of Washington, United States, and the courts of that state have jurisdiction.

12. Changes

We may update these terms. The date at the top of this page shows when they last changed. For material changes affecting an existing service, we will tell affected clients directly.
